Terms of Service

Important: These terms are a launch-ready business draft, not legal advice. FieldNivo should obtain review by a Utah-licensed attorney before a broad public launch.

1. Agreement and eligibility

These Terms form an agreement between you and Chacin Solution Heating & Cooling LLC, doing business as FieldNivo ("FieldNivo," "we," "us"). By creating an account, starting a trial, clicking acceptance, or using the Service, you agree to these Terms and the policies linked below. You must be at least 18 years old and authorized to act for the business or project you register. A formally registered company is not required, but you remain responsible for complying with licensing, registration, tax, insurance, and trade rules that apply to your work.

2. Service and Beta status

FieldNivo is business-management software for contractors and aspiring service businesses. It helps organize customers, leads, estimates, projects, follow-ups, subscription information, and AI-assisted drafts. FieldNivo does not perform contracting work, verify licenses, provide professional advice, or guarantee business results. Private-Beta access may be limited to approved testers; features may change, be interrupted, or be withdrawn.

3. Accounts and customer content

You must provide accurate information, protect credentials, and promptly report suspected unauthorized access. You retain ownership of information you submit ("Customer Content"). You grant FieldNivo a limited right to host, process, transmit, back up, and display Customer Content only as necessary to provide, secure, support, and improve the Service. You represent that you have the rights and notices needed to upload information about customers, prospects, workers, and projects.

4. Plans, free trial, and automatic billing

A payment method is required for the 14-day trial. You are not charged when the trial begins. Checkout shows the selected plan, monthly price, trial expiration, and renewal terms before authorization. Unless you cancel before the expiration shown at Checkout, Stripe will automatically charge that monthly price and continue charging monthly until cancellation. Taxes may be added where required. One promotional trial is available per company or substantially related account. We may change future prices with advance notice; a change will not take effect before the next permitted renewal.

5. Trial reminder and cancellation

Where required, FieldNivo will send a reminder before a trial converts to paid service, stating the expiration date, amount to be charged, and cancellation method. You may cancel online through Billing → Manage billing without calling or giving a reason. Cancellation stops future renewal charges; access normally continues through the paid period. 6. Acceptable use

You must comply with the Acceptable Use Policy. You may not access another workspace, upload unlawful or infringing material, bypass security or usage limits, introduce malicious code, resell access without permission, or use the Service to deceive or harm another person.

7. FieldNivo AI

AI output can be incomplete, inaccurate, or unsuitable. You must review every scope, estimate, message, calculation, and recommendation before relying on or sending it. Do not submit secrets or sensitive personal information that is unnecessary for the request. FieldNivo AI is not legal, tax, accounting, engineering, licensing, safety, or other professional advice. 8. Intellectual property and feedback

FieldNivo and its software, branding, design, and documentation are owned by FieldNivo or its licensors. Subject to these Terms, we grant you a limited, nonexclusive, nontransferable, revocable right to use the Service for your internal business purposes. If you provide feedback, you allow us to use it without restriction or compensation, but we will not publicly identify you without permission.

9. Third-party services

The Service relies on third parties such as Supabase, Vercel, Stripe, and an AI provider. Their services may have separate terms. FieldNivo is not responsible for third-party services outside its reasonable control, but will use providers reasonably necessary to operate the Service.

10. Suspension and termination

We may suspend or terminate access for a security threat, unlawful activity, nonpayment, material breach, or risk to other users. When reasonably possible, we will give notice and an opportunity to cure. You may stop using the Service and cancel at any time. Provisions that by nature should survive termination—including ownership, payment obligations, disclaimers, and liability limits—will survive.

11. Disclaimers

THE BETA SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIELDNIVO DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted operation, error-free output, or preservation of every item of data. Nothing here limits a warranty or consumer right that cannot legally be waived.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIELDNIVO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA. FIELDNIVO'S TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FIELDNIVO DURING THE 12 MONTHS BEFORE THE EVENT OR (B) $100. These limits do not apply where prohibited by law or to liability that cannot legally be limited.

13. Indemnity

To the extent permitted by law, you will defend and indemnify FieldNivo from third-party claims arising from your Customer Content, contracting work, violation of law, or material breach of these Terms. This does not require indemnification for FieldNivo's own unlawful conduct.

14. Governing law and disputes

Utah law governs these Terms, without regard to conflict-of-law rules. Before filing a claim, each party will try in good faith for 30 days to resolve it informally. Courts with jurisdiction in Utah will be the exclusive forum, except where applicable law gives you another right. These Terms do not impose mandatory arbitration or waive class rights.

15. Changes and notices

We may update these Terms as the Service changes. Material changes will be communicated through the Service or the account email before they take effect where required. Continued use after the effective date constitutes acceptance, except where affirmative consent is required by law.

16. Contact

The operator is Chacin Solution Heating & Cooling LLC, doing business as FieldNivo. Until a dedicated legal email is activated, account, privacy, and billing requests must use the support channel displayed inside the account. A functioning public legal/privacy contact must be added before accepting public customers.
